These Terms of Service ("Terms") explain the rules for using FeedConnector (the "Service"), a Xero marketplace app provided by TROYE PTY LTD ("we," "us," or "our"). You can reach us by email at support@troye.co.
FeedConnector helps connect external data feeds to your Xero account. This allows you to integrate and sync financial data from other sources into Xero easily.
By installing, accessing, or using the Service, you agree to these Terms. If you're using it for a company or organization, you confirm you have the right to agree on their behalf, and "you" means that organization. If you don't agree, please don't use the Service.
We might update these Terms sometimes. We'll let you know about big changes by email or in the Service. If you keep using the Service after that, it means you accept the updates.
1. What the Service Does
FeedConnector is a cloud-based app (SaaS) you can get from the Xero App Store. It lets you link external data sources—like banks (e.g., Commonwealth Bank), e-commerce platforms (e.g., Shopify), or payment processors (e.g., Stripe)—to your Xero account. The Service handles and syncs financial data between these sources and Xero for smooth integration.
- How Data Moves: Data from your selected sources goes through FeedConnector to your Xero account.
- Connections: You give FeedConnector access to your Xero account using secure OAuth login. We only access what's needed for the Service, based on what you allow.
- Your Control: You decide which connections to set up and what data to sync. We won't share your data with others unless you clearly say it's okay.
We provide the Service "as is" and "as available," without any promises or guarantees.
2. Who Can Use the Service and Account Rules
You need a valid Xero account to use the Service. You must be at least 18 years old (or the legal adult age in your area).
To start, install FeedConnector from the Xero App Store and set up or link an account. Keep your login details secret and safe. You're responsible for everything that happens on your account. Tell us right away at support@troye.co if someone uses it without permission.
3. Costs and Payments
Right now, FeedConnector is free for everyone. No fees for subscriptions, usage, or anything else.
We might add fees or change pricing later. If we do, we'll give you at least 30 days' notice by email or in the Service. Continuing to use it after that means you agree to the new costs, and may disable or limit your account.
4. Ownership of the Service
We (TROYE PTY LTD) or our partners own all rights to the Service, including its software, designs, logos, and related items. These Terms give you a limited right to use the Service for your own business needs. This right is non-exclusive, can't be transferred, and can be ended if needed. It's only while you follow these Terms.
You can't:
- Copy, change, or try to figure out how the Service works (like reverse engineering).
- Use it to make a similar product.
- Remove or change any ownership labels.
You keep all rights to your own data and content you add to the Service.
5. Your Data, Privacy, and Security
5.1 Who Owns Your Data
You own all the data you provide or that's handled by the Service ("Your Data"), like financial info from external sources or Xero. We don't own it. We only use Your Data to run the Service and follow these Terms.
5.2 Privacy
Our Privacy Policy (available at privacy-policy.html) explains how we handle your data. It's part of these Terms. We follow key privacy laws, including:
- Australian Privacy Principles in the Privacy Act 1988.
- GDPR for EU users (we're the processor; you're the controller—we only handle personal data as you instruct).
- CCPA for California users (we don't sell your info and will handle your requests as required).
If GDPR or CCPA applies to you, we'll sign a Data Processing Agreement (DPA) if you ask. Contact us at privacy@troye.co to request one. The DPA will outline how we process data, including security, sub-processors, and your rights to audit.
5.3 Security
We use strong security to protect Your Data, such as:
- Encryption for data moving (TLS 1.2 or better) and stored (AES-256 or better).
- Secure facilities with controls to prevent unauthorized access.
- Regular checks for security risks.
If there's a security breach affecting Your Data, we'll notify you within 72 hours of confirming it (or sooner if law requires). We'll explain what happened, what data was involved, and steps to fix it.
5.4 Keeping and Deleting Data
We keep Your Data only as long as needed for the Service or required by law. When you end your account (see Section 11), we hold it for 30 days so you can export it. After that, we delete it permanently, unless law says otherwise.
You can export Your Data anytime using the Service's tools, in formats like CSV, JSON, or PDF.
6. Connections to Other Services
6.1 Xero Connection
You need to allow FeedConnector access to your Xero account via their secure API. This lets us read and add data for syncing. We follow Xero's rules, and you must too.
6.2 Other Data Sources
You can connect compatible sources at your own risk. You're responsible for:
- Making sure they're compatible and legal to use.
- Getting permission from those providers.
- Checking that the data is accurate.
We don't recommend or guarantee any third-party sources and aren't responsible for problems they cause.
7. How to Use the Service Properly
Use the Service legally and follow these Terms. Don't:
- Use it for anything illegal, fake, or harmful.
- Send viruses or harmful code.
- Mess with the Service or others' use.
- Overuse it, like syncing too much data that slows things down (we'll set fair limits if needed).
You're in charge of:
- Making sure Your Data is correct and legal.
- Backing up Your Data.
- Following all laws that apply to you, like privacy rules.
8. Service Availability
We try our best to keep the Service running, but we don't promise constant uptime. We might need to update or fix things, which could cause short breaks. We'll try to warn you about planned work.
We're not responsible for any issues if the Service is down or slow.
9. Limits on Our Responsibility
As much as the law allows, we (TROYE PTY LTD and our team) aren't liable for indirect damages like lost profits, data loss, or business harm from using the Service—even if we knew it might happen.
Our total responsibility under these Terms is limited to AUD $100. The Service comes "as is" without guarantees, like it working perfectly or fitting your exact needs.
Australian Consumer Law Note: If you're a consumer under Australian Consumer Law, you have rights that can't be excluded. Nothing in these Terms removes those rights, such as guarantees for acceptable quality. Our liability for breaching those is limited to re-supplying the Service or paying for it, as allowed by law.
10. Protecting Each Other (Indemnification)
You agree to protect us (TROYE PTY LTD and our team) from claims, losses, or costs (including legal fees) caused by:
- You breaking these Terms or laws.
- Problems with Your Data or how you use the Service.
- Claims from your connections or data sources.
We agree to protect you from claims caused by our gross negligence, willful misconduct, or violation of these Terms or laws related to the Service. This makes the protection fair for both sides.
11. Ending the Service
You can stop using the Service anytime by removing the app from Xero and telling us at support@troye.co.
We can pause or end your access anytime, especially if you break these Terms, don't pay (if fees apply later), or we stop the Service. We'll try to give notice if possible.
When it ends:
- Your right to use the Service stops right away.
- We keep Your Data for 30 days for export, then delete it.
- You still handle any leftover duties, like paying fees or keeping info private.
Sections 4, 5, 9, 10, 11, 12, and 13 continue after ending.
12. Handling Disputes and Which Laws Apply
These Terms follow the laws of New South Wales, Australia (ignoring rules about other places' laws).
If there's a problem, first try to sort it out by emailing us at legal@troye.co. If that doesn't work, we can choose arbitration (a neutral process outside court) through a service like the Australian Disputes Centre. Or, disputes can go to the courts in New South Wales, Australia.
13. Other Important Details
- Changes: We can update these Terms as noted at the start.
- Notices: We'll email notices to your account's email.
- Transferring Rights: You need our okay to give these Terms to someone else. We can do it without asking.
- If Something's Wrong: If part of these Terms isn't valid, the rest still applies.
- Full Agreement: These Terms plus our Privacy Policy are the complete deal between us.
- Unavoidable Events: We're not responsible for delays from things we can't control, like disasters or pandemics.
